Terms of Service

INTRODUCTION

Welcome to Social Cash! These Terms of Service (“Terms”) govern your access to and use of the Social Cash mobile application and website (collectively, the “Service”) provided by TecheraX Global Tech LTD, a Port Harcourt-based tech company (“we”, “us”, or “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not access or use the Service.

  1. Eligibility

To use the Service, you must be at least 18 years old and reside in a country where the Service is available. By using the Service, you represent and warrant that you meet these eligibility requirements.

  1. Use of Service
  • You may only use the Service for lawful purposes and in accordance with these Terms. You agree not to use the Service:
  • In any way that violates any applicable federal, state, local, or international law or regulation;
  • To transmit any unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, or any other form of solicitation;
  • To impersonate or attempt to impersonate Social Cash, a Social Cash employee, another user, or any other person or entity;
  • To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Service, or which, as determined by us, may harm Social Cash or users of the Service or expose them to liability.
  1. Account Registration and Security

To access the Service, you must create an account by providing your name, email address, and other information as requested. You agree to provide accurate, current, and complete information during the registration process and to keep your information up to date.

You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer or mobile device, and you agree to accept responsibility for all activities that occur under your account or password. You agree to notify us immediately of any unauthorized access to or use of your account or password or any other breach of security.

Fees and Payments

Some features of the Service may require payment of fees, which will be disclosed to you before you use those features. All fees are non-refundable, except as otherwise stated in these Terms or as required by applicable law.

Intellectual Property

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof), are owned by TecheraX Global Tech LTD, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms permit you to use the Service for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service, except as follows:

  • Your computer or mobile device may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
  • You may store files that are automatically cached by your Web browser for display enhancement purposes.
  • You may print or download one copy of a reasonable number of pages of the Service for your own personal, non-commercial use and not for further reproduction, publication, or distribution.

Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

Escrow Payment Model

Social Cash provides an optional escrow payment model (SocialPay) for users to use in their transactions. By using the escrow payment model, both the sender and receiver agree to comply with the terms and conditions set forth in this section.

Payment Holding

When a sender uses the escrow payment model, the payment for the transaction will be held in the receiver’s TRUST WALLET for 24 hours. During this time, the receiver will not be able to withdraw the payment from their Social Cash account or their local bank account. If the sender does not create a dispute or chargeback within 24 hours, the payment will be automatically sent to the receiver’s local bank account.

Dispute Resolution

If the sender creates a dispute or chargeback within 24 hours, the payment will be placed on hold until the dispute is resolved. Social Cash will act as a mediator and will work to resolve the dispute between the sender and receiver.

A dispute or chargeback may be considered valid if the sender did not receive the goods or services they paid for, if the goods or services were not as described, if there was a technical issue with the payment, or if there was fraudulent activity involved.

Social Cash will work to resolve any disputes within a maximum of 7 business days. The resolution timeframe may vary depending on the complexity of the dispute and other factors. If the dispute is settled in favor of the sender, the payment will be reversed back to their Social Cash account. If the dispute is settled in favor of the receiver, the payment will be released to their local bank account from the settlement wallet.

The receiver is expected to reply to the dispute created by the sender and work towards resolving the issue within 7 working days. If the receiver does not respond to the dispute, the sender’s funds will be on hold for a maximum of 30 days. After 30 days, if the dispute remains unresolved, the payment will be sent back to the sender’s Social Cash wallet, and Social Cash will not be held responsible.

Fees

The use of the escrow payment model incurs a transaction fee, which the sender must pay. The transaction fee will be disclosed to the sender before they use the escrow payment model.

Liability

Social Cash is not responsible for any issues that may arise between the sender and receiver during the transaction. If the payment is automatically sent to the receiver’s local bank account within 24 hours and something goes wrong, Social Cash cannot be held responsible.

Penalties

If either the sender or receiver is found to be at fault in a dispute or chargeback, they may be penalized by Social Cash. The penalty may include temporary or permanent account termination and loss of funds, depending on the gravity of the issue.

To avoid penalties, users are expected to follow best practices for using the platform and engaging in transactions with integrity.

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT USE OF THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

Limitation of Liability

IN NO EVENT WILL TECHERAX GLOBAL TECH LTD, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICE, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of, or related to them, shall be governed by and construed in accordance with the laws of Nigeria, without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Service shall be instituted exclusively in the federal courts located in Port Harcourt, Nigeria.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By using the Services, you acknowledge that you have read, understand, and agree to be bound by these Terms.
